Article 233 Consolidated Document No. 17/VBHN-VPQH 2019 Commercial Law 2005 defines Logistics Services as follows: Logistics services are commercial activities whereby traders organize to perform one or more jobs including receiving goods, transportation, storage, warehousing, customs clearance, other paperwork, customer consulting, packaging, marking, delivery or other services related to goods according to the agreement with the customer for remuneration.

From the above definition, we can understand that Logistics service is an intermediary stage to transport goods and services from the place of production to the place of consumption in the shortest possible time. It allows materials and goods to flow and is instrumental in connecting activities in the global supply chain. Therefore, the logistics service industry is often a very attractive industry for both domestic and foreign investors.

Logistics is considered as the best service to deliver and transport, store everything from the place of production to the consumer. The role of logistics companies is to arrange and control the movement of goods or information about materials from the point of origin to the point of consumption in accordance with the needs of the customer. Companies must constantly improve and focus on quantity, quality, time and price of services to be able to compete effectively in this business.

3. Conditions for logistics company establishment:

The logistics sector is a conditional business. Therefore, enterprises must meet the following basic conditions:

(i) The company needs to be fully equipped with technical equipment and have a valid business registration certificate in the field of logistics.

(ii) In case of business registration in the fields related to the transport of goods, the logistics enterprise must be a company with a valid and lawful license to operate according to Vietnam's regulations.

(iii) Ensure technical staff as well as staff according to regulations.

(iv) If you are a foreign investor investing in the establishment of a Logistics company in Vietnam, you must meet the requirements for capital contribution in accordance with regulations, and the machinery and equipment for the job must meet the technical, and, regulatory standards and staff.

4. Logistics company establishment procedures:

Step 1: Prepare a dossier

Detailed documents to establish a logistics company include the following documents:

(i) List of shareholders or members of the company.

(ii) Charter of company.

(iii) Papers proving personal status: Identity card/passport, double identification card for individuals. Attach documents proving legal status: Business registration license, establishment decision, power of attorney... for organizations.

(iv) A written request from the competent authority for business registration to grant a license to register a logistics enterprise.

Step 2: Submit the dossier

Enterprises submit business registration documents to the Business Registration Office of the Department of Planning and Investment.

The Department of Planning and Investment will consider and issue a license to the business after 3-5 working days.

Step 3: Proceed to publish business registration information online

After an enterprise is granted an enterprise registration certificate, you must make a public announcement on the national business registration website according to the order and procedures and pay fees as prescribed. The content to be announced includes the contents of the Certificate of Business Registration and the following information: Business lines; List of founding shareholders and shareholders being foreign investors for joint-stock companies.

The maximum time limit to carry out this procedure is 30 working days from the date of obtaining the license to establish a logistics company. If after the above time, the enterprise does not disclose information about the company, it will be administratively sanctioned from 1 million VND to 2 million VND by the competent authority.

Step 4: Engrave the corporate seal and publicize the seal sample

Seal engraving is something businesses must do after having a tax code. The number and form of the seal will be decided by the business, however, it is necessary to ensure full company information such as the name and business code.

After successful seal placement, the enterprise publishes the seal sample publicly on the national electronic portal.

Step 5: Get the sign 

The logistics company needs to order a company sign with all the necessary information and hang the company sign in accordance with regulations and convenient for management.
